We process personal data in accordance with applicable data protection laws, including the <strong>General Data Protection Regulation (GDPR).<\/strong><\/p><p>When customers use <strong>Moo Software<\/strong>, Qbil Software B.V. may process personal data on their behalf. This page contains our standard <strong>Datenschutz-Zusatzvereinbarung (DPA)<\/strong>, which describes our responsibilities as a <strong>Data Processor<\/strong> and our commitment to protecting personal data.<\/p><p><br \/>Our information security and privacy management programme is supported by internationally recognised standards, including <strong>ISO\/IEC 27001, ISO\/IEC 27701<\/strong>, and our <strong>NIS2 compliance framework<\/strong>.<\/p><p>For information about the third-party service providers we engage to support our services, please refer to our Sub-processors page.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-0bb16f5 elementor-widget elementor-widget-heading\" data-id=\"0bb16f5\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">Datenschutz-Zusatzvereinbarung (DPA)<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-e8e9a70 elementor-widget elementor-widget-text-editor\" data-id=\"e8e9a70\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>This Data Processing Addendum (&#8220;DPA&#8221;) forms part of the agreement between <strong>Qbil Software B.V<\/strong>. (&#8220;Qbil&#8221;, &#8220;we&#8221;, &#8220;our&#8221;, or &#8220;us&#8221;) and its customers (&#8220;Customer&#8221;) regarding the processing of personal data in connection with the use of Qbil Software solutions, including <strong>Qbil-Handel<\/strong> und <strong>Moo Software<\/strong>.<\/p><p>Qbil Software B.V. is committed to protecting personal data and processing it in accordance with applicable data protection laws, including the <strong>General Data Protection Regulation (GDPR)<\/strong>.<\/p><p>\u00a0<\/p><p><strong>1. Roles and Responsibilities<\/strong><\/p><p>For the purposes of applicable data protection laws:<\/p><ul><li>The Customer acts as the <strong>Data Controller<\/strong>, determining the purposes and means of processing personal data.<\/li><li>Qbil Software B.V. acts as the <strong>Data Processor<\/strong>, processing personal data solely on behalf of the Customer and in accordance with the Customer&#8217;s documented instructions.<\/li><\/ul><p>Qbil processes personal data only as necessary to provide and support its software services.<\/p><p>\u00a0<\/p><p><strong>2. Nature and Purpose of Processing<\/strong><\/p><p>Qbil may process personal data in order to provide the following services:<\/p><ul><li>ERP software solutions for commodity and ingredient trading<\/li><li>system hosting and data storage<\/li><li>software maintenance and updates<\/li><li>customer support and technical assistance<\/li><li>system security monitoring and incident response<\/li><\/ul><p>\u00a0<\/p><p>Processing activities may include:<\/p><ul><li>storing data<\/li><li>organising and structuring data<\/li><li>retrieving and transmitting data<\/li><li>securing and backing up data<\/li><\/ul><p>\u00a0<\/p><p><strong>3. Types of Personal Data<\/strong><\/p><p>Depending on the Customer&#8217;s use of the software, the following categories of personal data may be processed:<\/p><ul><li>contact details (name, email address, phone number)<\/li><li>business contact information<\/li><li>system user credentials<\/li><li>transactional and operational data entered by users<\/li><li>communication records related to support requests<\/li><\/ul><p>\u00a0<\/p><p>Qbil does <strong>not intentionally process special categories of personal data<\/strong> unless explicitly instructed by the Customer.<\/p><p>\u00a0<\/p><p><strong>4. Security Measures<\/strong><\/p><p>Qbil Software B.V. implements appropriate <strong>Technische und organisatorische Ma\u00dfnahmen<\/strong> to ensure the confidentiality, integrity and availability of personal data.<\/p><p>These measures include safeguards relating to:<\/p><ul><li>access control and authentication<\/li><li>data protection and system security<\/li><li>monitoring and incident response<\/li><li>backup and business continuity<\/li><li>secure software development and maintenance<\/li><\/ul><p>\u00a0<\/p><p>Qbil continuously reviews and improves its security controls as part of its information security management processes.<\/p><p>\u00a0<\/p><p><strong>5. Sub-processors<\/strong><\/p><p>Qbil Software B.V. may engage carefully selected third-party service providers (&#8220;Sub-processors&#8221;) to support the delivery and operation of its services. These may include providers of:<\/p><ul><li>cloud infrastructure<\/li><li>system hosting<\/li><li>communication services<\/li><li>support and monitoring tools<\/li><\/ul><p>\u00a0<\/p><p>All Sub-processors are contractually required to implement appropriate technical and organisational measures to protect personal data and comply with applicable data protection laws.<\/p><p>An up-to-date list of authorised Sub-processors, including their purpose, country of establishment and, where applicable, information regarding international data transfers, is available at:<\/p><p><a href=\"https:\/\/www.qbilsoftware.com\/subprocessors\/\">https:\/\/www.qbilsoftware.com\/subprocessors\/\u00a0<\/a><\/p><p>Qbil Software B.V. reserves the right to update its Sub-processors from time to time. The Sub-processor list referenced above will always reflect the current list of approved Sub-processors.<\/p><p>\u00a0<\/p><p><strong>6. International Data Transfers<\/strong><\/p><p>Qbil processes and stores data primarily within the <strong>European Economic Area (EEA)<\/strong>.<\/p><p>Where personal data is transferred outside the EEA, Qbil ensures that appropriate safeguards are in place in accordance with applicable data protection laws, including where applicable:<\/p><ul><li>Standard Contractual Clauses (SCCs) approved by the European Commission;<\/li><li>Adequacy Decisions issued by the European Commission;<\/li><li>Other legally recognised transfer mechanisms.<\/li><\/ul><p>\u00a0<\/p><p><strong>7. Data Retention and Deletion<\/strong><\/p><p>Customer data is retained only for as long as necessary to provide the services.<\/p><p>Upon termination of the service agreement:<\/p><ul><li>customer data will be returned or made available for export where applicable;<\/li><li>data will subsequently be securely deleted within a defined retention period, unless legal obligations require longer storage.<\/li><\/ul><p>Secure data destruction processes are used to prevent unauthorised access or recovery.<\/p><p>\u00a0<\/p><p><strong>8. Data Subject Rights<\/strong><\/p><p>Qbil supports its customers in responding to data subject requests, including:<\/p><ul><li>access requests<\/li><li>correction requests<\/li><li>deletion requests<\/li><li>data portability requests<\/li><\/ul><p>As the <strong>Data Controller<\/strong>, the Customer remains responsible for responding to such requests.<\/p><p>\u00a0<\/p><p><strong>9. Data Breach Notification<\/strong><\/p><p>In the event of a personal data breach affecting Customer data, Qbil will:<\/p><ul><li>promptly investigate the incident;<\/li><li>take appropriate mitigation measures;<\/li><li>notify the Customer without undue delay;<\/li><li>provide relevant information to support the Customer&#8217;s regulatory notification obligations.<\/li><\/ul><p>\u00a0<\/p><p><strong>10. Compliance and Certifications<\/strong><\/p><p>Qbil Software B.V. maintains a strong commitment to security, privacy and regulatory compliance.<br \/>Our information security and privacy programme includes:<\/p><ul><li><strong>ISO 27001 \u2013 Information Security Management<\/strong><\/li><li><strong>ISO 27701 \u2013 Datenschutz-Informationsmanagement<\/strong><\/li><li><strong>NIS2 Cybersicherheitsbereitschaft<\/strong><\/li><\/ul><p>These frameworks help ensure that personal data is processed securely and responsibly.<\/p><p>\u00a0<\/p><p><strong>11.
